1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between you ("User," "you") and FounderDive ("Company," "we," "us," "our"). By registering, accessing, or using the FounderDive platform, website, or services (collectively, the "Service"), you agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Service Description

FounderDive provides AI-powered market analysis and business intelligence through:

• Deep Dives: Automated market research combining web search, social listening, and AI analysis
• Prova Chat: An AI cofounder chatbot with persistent business memory
• Scoring & Archetypes: Data-driven business scoring and positioning frameworks
• Admin Dashboard: Tools for account management and billing (if applicable)

The Service is provided on an "as-is" basis. We make no guarantees about accuracy, completeness, or timeliness of AI-generated analysis. You should verify findings independently before making business decisions.

3. User Accounts

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your password and account credentials
• Accept responsibility for all activity under your account
• Notify us immediately of unauthorized access or security breaches
• Not share your account with others without written permission

We reserve the right to disable or terminate accounts that violate these Terms or engage in abuse.

4. Acceptable Use Policy

You agree not to use the Service to:

• Submit false, misleading, or fraudulent business information
• Attempt to access another user's data or account without permission
• Reverse-engineer, decompile, or attempt to derive the source code or algorithms
• Scrape, bulk download, or systematically extract data from the Service
• Launch attacks (DDoS, SQL injection, etc.) or compromise system security
• Use automated tools or bots without written permission
• Violate any applicable laws, regulations, or third-party intellectual property rights
• Harass, threaten, defame, or abuse other users or the Company
• Engage in spamming, phishing, or other malicious activities

Violation of this policy may result in account suspension or termination without refund.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• FounderDive is provided "as-is" without warranties of any kind
• We are not liable for any indirect, incidental, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Service in the past 12 months
• We are not liable for lost profits, data loss, business interruption, or reputational harm
• AI-generated analysis may be inaccurate; you are solely responsible for verifying findings

Some jurisdictions limit liability disclaimers, so the above may not apply to you. This clause does not exclude liability for fraud, gross negligence, or death.

7. Indemnification

You agree to indemnify and hold harmless FounderDive, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of the Service
• Your violation of any law or third-party rights
• Content you submit or actions you take using the Service

You may terminate your account at any time by deleting your account in Settings.

We may terminate or suspend your account for:

• Violation of these Terms
• Non-payment of fees (after 30-day notice)
• Unauthorized access attempts or security violations
• Abusive or illegal activity
• Business reasons (with 30 days' notice)

Upon termination, your access is immediately revoked. Data deletion follows our Privacy Policy (30-day retention).

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. You assume all risk associated with its use.

11. Third-Party Services

FounderDive integrates with external services (Supabase, Lemon Squeezy, Perplexity, etc.). You acknowledge that:

• These services are subject to their own terms and privacy policies
• We are not responsible for their outages, errors, or policies
• Disruption of third-party services may affect the availability of FounderDive

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States (Delaware), without regard to conflict of laws principles.

Dispute Resolution: You agree to attempt to resolve disputes through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in the United States.

You waive the right to pursue claims in court or as part of a class action. This does not affect your rights in small claims court.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email (to your registered account address) or in-app notification with 30 days' notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.
